Article 1 – Acceptance of the Terms & Conditions

Any rental of a photobooth implies the client’s full and unconditional acceptance of these Terms & Conditions. Likewise, any use, even partial, of the delivered equipment constitutes acceptance by the Client of these Terms & Conditions. The rental period begins at the moment the equipment is delivered/picked up and ends at the time of pickup/return of the equipment.

Article 2 – Orders

Orders must be placed by the client in writing and are considered final and binding upon receipt of the signed order form. Orders are only confirmed after payment of the required deposit.

Article 3 – Pricing

All prices are displayed excluding and/or including taxes.
Surcharge: Any delay in returning the equipment may result in additional charges. In the event of non-return of the equipment, it will be invoiced to the client at the current public retail price.

Article 4 – Payment Terms

All invoices are payable upon receipt. For public entities, payment must be made within a maximum of 30 days from the invoice date. In the event of failure to comply with the payment deadlines described above, collection costs will be borne by the client. Failure to pay all or part of an invoice by its due date will result in the suspension of deliveries for current orders. Any unpaid amount at its due date will automatically, and without prior notice, accrue late payment interest calculated pro rata temporis at one and a half times the legal interest rate and will result in the immediate payment of all outstanding amounts.

Article 5 – Cancellation

Any cancellation, regardless of the reason, less than 3 weeks before the scheduled rental date will result in the full amount of the order being due.

Article 6 – Delivery / Return

MEMORY MAKERS offers a turnkey on-site service. The Client must provide all information necessary for delivery and pickup of the equipment (exact address, delivery date and time, contact names, phone numbers). If the technician does not remain on site during use of the equipment, a delivery receipt will be provided to the client at the time the rented equipment is made available. A return receipt will be issued upon return of the equipment. The client must be present during delivery and return of the rented equipment. In the event of absence of the Client during delivery or pickup, the documents established by MEMORY MAKERS shall constitute valid proof, and only observations noted by MEMORY MAKERS on these documents shall be deemed valid. MEMORY MAKERS reserves a period of 5 business days after return to report any damage to the equipment that was not visible or not reported by the Client at the time of return.

Article 7 – Condition of Equipment and Assistance

The rented equipment is deemed to be in good presentation and working condition and to meet the characteristics requested by the Client. The equipment may be inspected by the client before each rental. The client agrees to use the rented equipment in accordance with its intended purpose and not to do or allow anything that could damage it. In particular, the client shall provide an electrical installation with sufficient power for the equipment to operate. In the event of an issue with the equipment, the Client has access to MEMORY MAKERS’ telephone support to resolve the problem.

Article 8 – The client certifies that they are qualified to use the rented equipment. No modification or alteration may be made to the rented equipment.


Article 9 – Liability – Damages and Responsibility

The rented equipment remains the property of MEMORY MAKERS and may under no circumstances be transferred or seized. MEMORY MAKERS shall not be held liable for delays, inability to deliver, or failure to perform any contractual obligation in cases of force majeure such as strikes, adverse weather conditions, accidents, etc.

Damages

MEMORY MAKERS shall not, under any circumstances, be held liable for any damage of any kind, including but not limited to loss of business, loss of data, or any other loss resulting from the use or inability to use the rented equipment.

Article 10 – Insurance

The equipment remains under the sole responsibility of the user during the rental period, unless the service includes the presence of a professional appointed by MEMORY MAKERS.

Article 11 – Intellectual Property and Confidentiality

Software equipment, documentation, and any technical or other information belonging to MEMORY MAKERS are the exclusive property of MEMORY MAKERS.
MEMORY MAKERS reserves the right to mention its clients and present its services as references for promotional purposes.

Article 12 – Damages, Disputes, and Applicable Law

Any damage identified within 5 days following the return of the equipment resulting from improper use will give rise to compensation based on an estimate which, in the absence of justified objection within 3 days, will be deemed accepted. The security deposit may be applied, in whole or in part, to such compensation or to replacement value in the event of theft.

Incidents / Disputes

In the event of an incident, it is the responsibility of the client to demonstrate compliance with all preceding instructions. In the event of a dispute, the parties shall first seek an amicable solution through mediation, and only in the absence of agreement shall the matter be brought before the Justice of the Peace of the district of Brussels-City.
